All matters of the Board shall be considered at a meeting of the Board and shall be decided by a majority of the members present and voting, and in the case of equality of votes, the Chairperson shall have a casting vote:
Provided that the Chairperson may, if he thinks fit, direct that a decision in respect of any matter shall be taken after circulation of necessary documents and after obtaining the opinion of the members in writing:
Provided further that no decision shall be taken on any matter under the preceding proviso unless it is supported by at least two-thirds of the members.
